Terms of Service

These Terms of Service ("Terms") govern your use of naia.nextain.io and related services ("Service") operated by nextain Inc. ("Company", "we", "us"). By accessing or using the Service, you agree to these Terms.

1. Service Description

The Service provides:

• Access to the Naia AI API Gateway (70+ AI models)
• Credit-based usage metering
• API key management
• Dashboard, usage analytics, and billing management
• Integration with Naia OS desktop application
• Cross-service credit usage on affiliated Nextain platforms (e.g., aiedu.nextain.io)

2. Eligibility

• You must be at least 14 years old (or the age of digital consent in your country, whichever is higher) to use the Service.
• By using the Service, you represent that you have the legal capacity to enter into these Terms.
• If you are using the Service on behalf of a business, you represent that you have authority to bind that business.

3. Account

• You may sign up using Google or Discord OAuth.
• You are responsible for maintaining the security of your account and API keys.
• You may not share your account or API keys with others.
• Notify us at support@nextain.io immediately if you suspect unauthorized access.

4. Subscription Plans and Pricing

Credit Packs (one-time purchase)

$10 / $30 / $60 / $100 (USD, plus applicable VAT/taxes)

Billing

• Subscriptions are billed monthly, automatically renewed.
• Payments are processed by LemonSqueezy (Merchant of Record). We do not handle payment card data directly.
• You authorize recurring charges to your payment method on file.

Price Changes

We will notify you at least 30 days in advance of any price changes. Changes take effect at your next renewal after the notice period.

5. Credit Policy

1. Credits are prepaid points used to pay for AI API calls.
2. Credits have no expiration date.
3. Credits are non-refundable and cannot be exchanged for cash.
4. Credit packs are applied to your account immediately upon purchase.
5. Basic subscribers receive a 1% bonus credit on each credit pack purchase.
6. Pro subscribers receive a 2% bonus credit on each credit pack purchase.
7. Credits may be used across Nextain services, including naia.nextain.io (AI API) and aiedu.nextain.io (AI education platform).
8. On aiedu.nextain.io, credits may be used to purchase curriculum licenses (time-limited access passes). See Section 4a below.

4a. Curriculum Licenses (aiedu.nextain.io)

1. Curriculum licenses are time-limited access passes for educational content on aiedu.nextain.io.
2. Each license grants access to a specific curriculum for a defined number of days, with an included AI credit allowance.
3. Licenses are purchased by deducting credits from your Naia account balance.
4. License pricing uses a dynamic early-bird model: the earlier you purchase, the lower the credit cost. Prices increase as seats fill.
5. If AI credit usage exceeds the included allowance, additional credits are deducted from your Naia balance (with your explicit consent at the time of overage).
6. Refund policy: Unused licenses (no lesson started) may be refunded in full as credit restoration. Once any lesson content has been accessed, the license is non-refundable as it constitutes consumed digital content.
7. Learning data (AI conversations, code executions, progress) is collected during use, encrypted, and stored securely. Separate consent is required before first use.

6. Cancellation and Refund Policy

Subscription Cancellation

• You may cancel your subscription at any time before the next renewal date (at least 24 hours before renewal).
• After cancellation, you retain access until the end of your current billing period (renew_at).
• No partial refunds are issued for unused days.

Credit Pack Refunds

Credit packs are non-refundable once purchased and credited to your account, as they constitute immediately-delivered digital content. Exceptions:

• Company fault: Service failures or errors causing credit loss → proportional credit restoration or refund
• Billing errors: Duplicate charges or technical errors

To request a refund, contact support@nextain.io with your order details. We process requests within 7 business days.

Korean Consumers (전자상거래법 제17조)

For Korean residents: under the E-Commerce Consumer Protection Act, you have a 7-day cooling-off period from the date of subscription or credit pack purchase. However, because credits are digital content that becomes accessible immediately upon purchase, the right of withdrawal may be limited once credits have been made available to you. Where this limitation applies, we will clearly inform you at the time of purchase.

7. Prohibited Use

You agree not to:

• Share, sell, or resell your account or API keys
• Use the Service to generate illegal content (spam, deepfakes, CSAM, etc.)
• Attack or probe the service infrastructure (hacking, DDoS, penetration testing without authorization)
• Send excessive automated requests that degrade service stability for other users
• Reverse-engineer the Service to build competing products
• Violate applicable laws or third-party rights
• Misrepresent your identity or provide false information

Violations may result in immediate suspension or termination of your account, with or without notice.

8. AI Service Disclaimer

1. The Service acts as a gateway to third-party AI models. We do not develop or control the underlying models.
2. AI-generated outputs are not guaranteed for accuracy, completeness, or fitness for any particular purpose.
3. You are solely responsible for verifying and using AI outputs appropriately.
4. We do not use your API inputs or outputs to train AI models.
5. Third-party AI model providers (Anthropic, OpenAI, Google, etc.) may have their own usage policies that apply to your use.

9. Intellectual Property

1. The Service software, branding, and design are owned by the Company.
2. The Service source code is available under the Apache License 2.0.
3. Rights to AI-generated outputs are governed by the respective AI model provider's terms.
4. You retain ownership of the prompts and data you submit to the Service.

10. Disclaimers

1. The Service is provided "AS IS" without warranties of any kind, express or implied.
2. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements.
3. We are not liable for service interruptions caused by third-party AI model providers.
4. If we discontinue the Service, we will provide at least 30 days' notice.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms limits liability where it cannot be excluded by law (e.g., for death or personal injury caused by our negligence, or fraud).

12. Changes to Terms

We will notify you of material changes to these Terms:

• Material changes: at least 30 days before they take effect, via email or in-service notice
• Minor changes: at least 7 days before they take effect

Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Termination

• You may delete your account at any time via Settings.
• We may suspend or terminate your account for violations of these Terms, with notice where reasonably practicable.
• Upon termination, your right to use the Service ceases immediately. Unused credits are forfeited (non-refundable).

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Korea. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Seoul Central District Court.

Nothing in these Terms affects your statutory rights as a consumer under applicable local law.
